These Terms of Use ("Terms") govern your access to and use of gaudon.store (the "Site") and any services, content, datasheets, samples, or products offered by GAUDON USA LLC ("GAUDON," "we," "our," or "us"). By using the Site or submitting any form, you agree to these Terms. If you do not agree, do not use the Site.
1. Acceptance of terms
By accessing or using the Site, including downloading datasheets, requesting quotes or samples, or submitting any form, you represent that (a) you are at least 18 years old, (b) you have authority to act on behalf of any organization you identify, and (c) your use of the Site complies with all applicable laws.
2. Eligibility
The Site is intended for business and professional users. If you are using the Site on behalf of a company, you represent that you are authorized to bind that company to these Terms.
3. Permitted use
- You may use the Site for lawful business purposes only.
- You may view, download, and print Site content for your internal business reference, provided you keep all copyright and other proprietary notices intact.
- You agree to provide accurate and current information when submitting forms or contacting us.
4. Prohibited conduct
- Scraping, mirroring, or copying substantial portions of the Site without our written permission;
- Reverse-engineering, decompiling, or attempting to extract source code from the Site;
- Interfering with or disrupting the Site, our servers, or other users;
- Using the Site to transmit malware, harvest contact information, or send unsolicited communications;
- Misrepresenting your identity, affiliation, or authority;
- Violating any applicable export-control, sanctions, or trade-compliance laws.
5. Product information and pricing
Product specifications, technical data sheets ("TDS"), safety data sheets ("SDS"), warranty terms, color availability, and pricing on the Site are provided for informational purposes and are subject to change without notice. While we strive for accuracy, GAUDON does not warrant that all information is complete, current, or error-free. Always confirm specifications and current pricing with a GAUDON representative before relying on them for a critical project.
6. Quotes and orders
Quotes are valid for thirty (30) days from issue unless otherwise specified in writing. A quote does not constitute an offer of sale until accepted and confirmed in writing by an authorized GAUDON representative. Orders are subject to GAUDON's standard terms of sale, including payment terms, lead times, and freight terms communicated at quote acceptance, which control over any conflicting terms in your purchase order.
7. Sample requests
Samples are provided free of charge to qualified business contacts at GAUDON's sole discretion. Samples are intended for product evaluation only, may not be resold, and must be stored and applied per the relevant TDS and SDS. GAUDON may decline or limit sample requests at its discretion.
8. Warranties
Each GAUDON product carries a one (1) year limited warranty from the date of purchase, unless a different term is agreed in writing. The warranty is limited to product replacement or refund of the purchase price, at GAUDON's option. The warranty does not cover product misuse, improper application, application outside published environmental ranges, use on incompatible substrates, or failure to follow the TDS.
EXCEPT AS EXPRESSLY STATED IN A WRITTEN WARRANTY ACCOMPANYING THE PRODUCT, ALL PRODUCTS AND SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, GAUDON DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAUDON, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. GAUDON'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.
10. Indemnification
You agree to defend, indemnify, and hold harmless GAUDON and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site or products in breach of these Terms, (b) your violation of any law or the rights of any third party, or (c) any content you submit to us.
11. Intellectual property
All content on the Site, including the GAUDON name, logo, mascot, product names, photography, illustrations, datasheets, and copy, is owned by or licensed to GAUDON USA LLC or its parent Foshan Qiaohong New Materials Co., Ltd., and is protected by copyright, trademark, and other intellectual-property laws. You may not copy, modify, reproduce, distribute, publicly display, or create derivative works of any of it without our prior written permission, except as expressly permitted under Section 3.
12. Third-party links and services
The Site may contain links to third-party websites, embedded services (for example, Zoho forms, Google Maps, social platforms), or downloadable third-party content. GAUDON does not control or endorse these and is not responsible for their content, terms, or practices. Your use of any third-party service is at your own risk and subject to that provider's terms.
13. Termination
GAUDON may suspend or terminate your access to the Site at any time, with or without notice, for any breach of these Terms or any conduct we determine, in our discretion, to be harmful to the Site, our users, our business, or any third party. Sections that by their nature should survive termination (including IP, warranties, limitations of liability, indemnification, and governing-law provisions) will survive.
14. Governing law and jurisdiction
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction and venue of those courts.
15. Severability and waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision.
16. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. GAUDON may assign these Terms freely.
17. Force majeure
GAUDON is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, government actions, epidemics or pandemics, supply-chain disruptions, or interruptions to internet or telecommunications services.
18. Entire agreement
These Terms, together with our Privacy Policy and any written agreement we have with you, constitute the entire agreement between you and GAUDON regarding the Site and supersede any prior or contemporaneous understandings.
19. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Site after changes constitutes acceptance of the updated Terms.
